These Terms of Service ("Terms") govern access to and use of the marketplace applications operated by AgoraCrew (hereinafter "we", "us", or "our"): ARBridge for QuickBooks, distributed via the HubSpot Marketplace, XSync for QuickBooks Desktop, distributed via the monday.com marketplace, and Order Issue Alerts, distributed via the Shopify App Store (each an "App", together the "Services"). These Terms are distinct from, and supplement, any general engagement terms covering our custom software engineering or consulting services.
Key terms used throughout this document:
These Terms are entered into between professional/business entities and are not directed at consumers acting outside a trade, business, or profession.
Installing an App from the HubSpot Marketplace, the monday.com marketplace, or the Shopify App Store, authorizing the associated OAuth connection, or otherwise using an App constitutes full acceptance of these Terms by the Customer. If you are accepting on behalf of a business, you represent that you have the authority to bind that business.
Each App also operates within, and is subject to, the terms of its respective marketplace: the HubSpot Marketplace Provider Agreement and applicable HubSpot platform policies for ARBridge for QuickBooks; the monday.com Marketplace Terms of Service and applicable monday.com platform policies for XSync for QuickBooks Desktop; and the Shopify Partner Program Agreement and applicable Shopify Acceptable Use Policy for Order Issue Alerts. Where these Terms and the applicable marketplace's own end-user terms conflict on a matter the marketplace platform itself controls (e.g., billing mechanics processed through that platform), the marketplace's terms govern for that matter.
We operate three distinct marketplace applications, described below. Full detail on what data each App accesses and how it is processed is set out in our Privacy Policy, which forms part of these Terms by reference.
ARBridge is a HubSpot Marketplace app. For each Customer who installs it, ARBridge reads Customer, Invoice, and Payment records from that Customer's own QuickBooks Desktop company file — via QuickBooks Web Connector, using the qbXML protocol — and writes a derived financial picture into that same Customer's own HubSpot account. It does not aggregate or share data across different Customers.
| Aspect | How ARBridge Works |
|---|---|
| Direction | One-way: QuickBooks Desktop → HubSpot only |
| QuickBooks access | Read-only, structurally enforced — ARBridge only ever issues qbXML "Query" requests; there is no code path capable of adding, modifying, or deleting anything in a Customer's QuickBooks file |
| What syncs to HubSpot | Company and Contact records (from Customer/billing contact identity), native HubSpot Invoice records (from Invoice/Payment data), and derived fields (AR aging, credit-status flag, lifetime revenue, trailing-12-month revenue, last-payment info) |
XSync for QuickBooks Desktop is a monday.com marketplace app. For each Customer who installs it, it reads Customer, Job, Invoice, Estimate, Sales Order, and Item records from that Customer's own QuickBooks Desktop Enterprise company file — via QuickBooks Web Connector, using the qbXML protocol — and creates and updates items on that same Customer's own monday.com boards, according to a field mapping the Customer configures. It does not aggregate or share data across different Customers.
| Aspect | How XSync for QuickBooks Desktop Works |
|---|---|
| Direction | One-way: QuickBooks Desktop → monday.com only |
| QuickBooks access | Read-only, structurally enforced — the App only ever issues qbXML "Query" requests; there is no code path capable of adding, modifying, or deleting anything in a Customer's QuickBooks file |
| What syncs to monday.com | Board items representing Customers and Jobs — preserving the QuickBooks customer:job hierarchy — together with Invoices, Estimates, Sales Orders, and Items. Column values are populated from the QuickBooks fields the Customer maps onto them, and invoice balances update as payments are recorded in QuickBooks |
| monday.com access | OAuth only, limited to identifying the account and the authorizing user, listing workspaces, reading boards and their columns so QuickBooks fields can be mapped onto them, and creating and updating items on the boards the Customer selects |
Order Issue Alerts is a Shopify App Store app, embedded in Shopify Admin. For each Customer who installs it, it reads that Customer's own Shopify store data — orders, fulfillments, inventory, and locations — via Shopify's GraphQL Admin API, and produces a nightly AI-summarized digest that surfaces fulfillment delays, inventory mismatches, address-validation issues, and stalled third-party-fulfillment orders in one prioritized list inside Shopify Admin.
| Aspect | How Order Issue Alerts Works |
|---|---|
| Shopify access | Read-only OAuth scopes only (order, fulfillment, inventory, location, and third-party-fulfillment-order data); Order Issue Alerts does not modify orders, inventory, or fulfillments in Shopify |
| Detection | Real-time Shopify webhooks plus periodic reconciliation scans, covering four exception categories: fulfillment delays, inventory mismatches, address-validation issues, and third-party-fulfillment-service stalls |
| Digest generation | A nightly batch job summarizes open exceptions into a plain-English, prioritized digest using a third-party AI model, displayed inside the merchant's own Shopify Admin |
🚧 We may add, modify, or retire features of any App from time to time. Where a change would materially reduce functionality a Customer relies on, we will provide notice through the App's dashboard, the relevant marketplace listing, or direct communication where practicable.
ARBridge for QuickBooks is offered with a free trial period requiring a valid payment method at signup; ARBridge does not offer an indefinite free tier. A separate partner/reseller pricing arrangement is available for bookkeeping and accounting firms managing multiple QuickBooks files on behalf of their own clients.
XSync for QuickBooks Desktop is subscribed to and billed through monday.com's own monetization system, and any trial is provisioned and administered by monday.com under the plan selected there. Separately, and before any subscription exists, a newly installed account is given a limited grace period during which the App is fully functional, so that a Customer can complete QuickBooks Web Connector setup and see data reach their boards before choosing a plan.
Order Issue Alerts is offered with a free trial period at installation, provisioned and administered through Shopify's own Billing API. From time to time we may run a time-limited promotional offer (e.g., an extended trial for early installs); eligibility for any such promotion is determined at the time of installation and is not retroactive.
Unless cancelled before the trial period ends, a subscription will automatically continue at the plan selected at signup, billed as described in Section 6. For XSync for QuickBooks Desktop, renewal, cancellation and any refund are administered by monday.com under its own subscription mechanics, and monday.com’s terms govern where they differ from this paragraph.
Using an App requires the Customer to authorize an OAuth connection to the relevant Connected Platform (HubSpot for ARBridge for QuickBooks; monday.com for XSync for QuickBooks Desktop; Shopify for Order Issue Alerts), and, for both ARBridge products, to also configure a QuickBooks Web Connector connection to their own QuickBooks Desktop company file. The Customer is responsible for:
Current pricing for each App — including plan tiers, included usage allowances, and any overage terms — is published in that App's marketplace listing and/or in-app billing screen at the time of subscription, and forms part of these Terms for that subscription.
| App | Billing Mechanism |
|---|---|
| ARBridge for QuickBooks | Billed directly by AgoraCrew through a third-party payment processor; we do not store full payment card numbers ourselves |
| XSync for QuickBooks Desktop | Billed through monday.com's native monetization and charged to the Customer's monday.com account; AgoraCrew never collects or stores payment card details for this App |
| Order Issue Alerts | Billed through Shopify's native Billing API and charged to the Customer's Shopify account/invoice; AgoraCrew never collects or stores payment card details for this App |
Fees are exclusive of applicable taxes unless stated otherwise. We may change pricing prospectively; changes will not apply retroactively to a billing period already in progress, and we will give reasonable advance notice before a price change takes effect for an existing subscription.
Each subscription runs on a rolling billing cycle and continues until cancelled. A Customer may cancel at any time — for Order Issue Alerts, by uninstalling the app from Shopify Admin or cancelling via Shopify's billing controls; for XSync for QuickBooks Desktop, through monday.com's own subscription controls or by uninstalling the app from the monday.com account; for ARBridge for QuickBooks, by cancelling through the ARBridge billing dashboard or disconnecting the app from HubSpot. Cancellation takes effect at the end of the then-current billing cycle unless stated otherwise at checkout; we do not provide prorated refunds for the unused portion of a billing cycle except where required by law.
We may suspend or terminate access to an App if a Customer materially breaches these Terms (including non-payment) and does not cure the breach within a reasonable period after notice, or where required to comply with a marketplace platform's own policies (HubSpot's, monday.com's, or Shopify's).
🗓️ What happens to your data on disconnect or uninstall is described in Section 7 ("Data Retention & Deletion") of our Privacy Policy — including the honest current gap around ARBridge for QuickBooks' stored connection credentials not yet being auto-purged on disconnect. XSync for QuickBooks Desktop does not share that gap: deauthorizing or uninstalling it starts a deletion clock, and that Customer's synced QuickBooks data and stored credentials are erased within ten days unless the App is reconnected first.
Our collection, processing, storage, and deletion of data through the Apps — including the specific data categories synced, subprocessors used, retention periods, and GDPR-related rights — is governed by our Privacy Policy, incorporated into these Terms by reference. In the event of a conflict between these Terms and the Privacy Policy on a data-handling question, the Privacy Policy governs.
The Apps use encryption for credentials and tokens at rest (AES-256) and for data in transit (TLS). In XSync for QuickBooks Desktop, personal data synced from QuickBooks — customer and contact names, email addresses, billing addresses, and free-text notes — is additionally encrypted at the column level with AES-256-GCM before it is written to our database. Where we act as a data processor on a Customer's behalf, the Customer remains the data controller responsible for having a lawful basis to share End Customer data with us.
When using any App, the Customer agrees not to:
We retain all right, title, and interest in and to each App, including its software, design, and documentation. Subject to these Terms and payment of applicable fees, we grant the Customer a limited, non-exclusive, non-transferable right to use the Services for its own internal business purposes for the duration of its subscription.
The Customer retains all rights to its own business data — including the data synced from its QuickBooks, monday.com, or Shopify account — and grants us only the rights necessary to provide the Services as described in Section 3 and our Privacy Policy.
The Services are provided "as is" and "as available." We do not warrant that any App will be uninterrupted or error-free, that the AI-generated summaries produced by Order Issue Alerts will be free of inaccuracy, or that the derived financial fields computed by ARBridge (such as AR aging or credit-status flags) will match every Customer's own internal accounting treatment. The Apps are decision-support tools; Customers remain responsible for their own financial and operational decisions.
Except as expressly stated in these Terms, we disclaim all other warranties, whether express, implied, or statutory, to the fullest extent permitted by applicable law.
To the maximum extent permitted by applicable law, our total liability arising out of or relating to a Customer's use of an App will not exceed the fees actually paid by that Customer to us for the relevant App in the twelve (12) months preceding the event giving rise to the claim.
We will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising from use of or inability to use the Services, even if advised of the possibility of such damages.
Each party agrees to indemnify the other against third-party claims arising from its own breach of these Terms, to the extent permitted by applicable law.
The Apps depend on third-party platforms we do not control — HubSpot, monday.com, Shopify, QuickBooks Desktop/QuickBooks Web Connector, and our underlying cloud-hosting and AI-model infrastructure. We are not responsible for outages, API changes, or data unavailable to us because of a failure, policy change, or limitation of one of these third-party platforms. Where such a platform materially changes its API, policies, or availability in a way that affects an App, we will make reasonable efforts to adapt or notify affected Customers.
Neither party will be liable for delay or failure to perform an obligation under these Terms to the extent caused by circumstances beyond its reasonable control, including outages or failures of third-party infrastructure providers (hosting, AI model providers, HubSpot, monday.com, Shopify, or Intuit/QuickBooks).
These Terms are governed by the laws of Hungary, without regard to conflict-of-law principles, reflecting AgoraCrew's registered place of business. Any dispute arising out of or relating to these Terms that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts of Hungary, subject to any mandatory consumer- or data-protection venue rules that cannot be waived by agreement.
We may update these Terms from time to time, including to reflect changes in an App's functionality, applicable law, or marketplace platform requirements. When we make a material change, we will update the "Last Updated" date at the top of this page and, where practicable, notify affected Customers through the relevant App's dashboard or by email.
Continued use of an App after updated Terms take effect constitutes acceptance of those Terms.
Entire agreement. These Terms, together with the Privacy Policy referenced herein, constitute the entire agreement between the parties regarding the Services and supersede any prior agreement on the same subject.
No waiver. A party's failure to enforce a provision of these Terms is not a waiver of its right to do so later.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
Contacting you. We will send you service messages about the Apps you have installed: a sync that has been failing, an authorisation that needs renewing, a change that affects how an App works, a security notice, and billing or account matters. These are not optional, because they are how an integration tells you it needs your attention. We may also occasionally send product news about the Apps you use; those are marketing messages, you can opt out of them at any time through the unsubscribe link they carry or by emailing us, and opting out does not affect the service messages above. We do not sell or rent your contact details, and we do not send you marketing on behalf of anyone else.
Assignment. A Customer may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
